Ultident Scientific has four key corporate values: integrity, focus, innovation and responsibility. These four values form the foundation of our business, and Ultident Scientific expects its suppliers to share these same values. This Code of Conduct describes the specific expectations of Ultident Scientific suppliers that are consistent with our corporate values.
Suppliers must comply with all applicable laws, regulations, and standards in all aspects of their operations, including fair competition, business integrity, and anti-corruption practices At Ultident Scientific's request, suppliers shall also provide Ultident Scientific with any information or materials necessary for Ultident Scientific, or its customers, to comply with all applicable laws, regulations, rules, guides, ordinances and/or standards. Business Integrity and Fair Competition Suppliers shall conduct their business in a manner consistent with fair and vigorous competition and in compliance with all applicable antitrust laws. Suppliers must apply fair business practices, including accurate and truthful advertising. Anti-corruption and bribery All practices of bribery, extortion and embezzlement are prohibited. Suppliers must not pay or accept bribes or participate in other illegal inducements in connection with their business or government relationships. Suppliers must comply with all applicable anti-bribery laws, rules and regulations, including the U.S. Foreign Corrupt Practices Act and those adopted under the OECD Convention on Combating Bribery of Foreign Public Officials in International Business Transactions.
Suppliers must protect confidential information and respect privacy while complying with data privacy laws and conducting their activities with integrity. Suppliers must comply with all applicable data privacy laws. Intellectual property Suppliers must respect intellectual property rights; the transfer of technology and know-how must be carried out in such a way as to protect intellectual property rights.
Suppliers must comply with all import and export controls, sanctions and other trade compliance laws of the United States and the countries in which transactions take place.
Animals must be treated humanely, pain and stress must be minimized, and suppliers must comply with IACUC guidelines. Animal testing should be carried out after consideration has been given to replacing animals, reducing the number of animals used, or refining procedures to minimize suffering. Alternatives should be used when scientifically valid and acceptable to regulatory authorities.
All workers must be encouraged to report problems or illegal activities in the workplace without threat of reprisal, intimidation or harassment. Suppliers must investigate and take corrective action if necessary.
Suppliers must avoid any interaction with an Ultident Scientific employee that may conflict, or appear to conflict, with that employee's action in the best interest of Ultident Scientific. Suppliers who have associates or immediate family members working for Ultident Scientific who may have a conflict of interest must inform Ultident Scientific before engaging in any business relationship. Gifts, entertainment, hospitality, gratuities and other favors It is absolutely forbidden to give or receive any payment or gift in the form of a bribe or kickback. Gifts of any type, nature or description, including discounts, coupons and other offers not available to the general public, provided, however, that Ultident Scientific employees may accept branded promotional items and annual vacation gifts (other than cash) with a fair market value reasonably estimated at $100.00 or less, provided that the gifts are consistent with customary industry practice and applicable law and cannot reasonably be construed as a bribe or payment. Suppliers shall not employ underage labor, in accordance with the Minimum Age Convention No. 138 and the Worst Forms of Child Labor Convention No. 182 of the International Labor Convention.
Suppliers must not use forced or compulsory labor as described in Article 2 of Convention 29 on Forced Labor and Article 1 of Convention 105 on the Abolition of Forced Labor of the International Labor Organization. - Suppliers must comply with all applicable labor laws, rules and regulations, including, but not limited to, all laws prohibiting the solicitation, facilitation or other use of slavery, servitude, forced or compulsory labor, human trafficking or sex trafficking, as those terms are used in U.S. law, the California Transparency in Supply Chains Act of 2010, California Civil Code, section 1714. 43, the UK Modern Slavery Act 2015, and FAR 52.222- 50, Combating Trafficking in Persons. Suppliers must respect, within the framework of local laws and established practices, the principles of Article 2 of Convention 87 on Freedom of Association and Protection of the Right to Organize, and Articles 1 and 2 of Convention 98 on the Right to Organize and Collective Bargaining of the International Labor Organization.

Suppliers must provide a workplace free from harsh or inhumane treatment, including sexual harassment, sexual abuse, corporal punishment, mental or physical coercion or verbal abuse, and no threat of such treatment.
Suppliers must ensure the health and safety of workers by protecting them from risks and implementing programs to prevent incidents in the workplace
Suppliers must have programs in place to prevent or mitigate catastrophic or undesirable releases of chemicals, biological agents or genetically modified organisms. Emergency preparedness and response Suppliers must identify and assess emergency situations in the workplace and on company premises, and minimize their impact by implementing emergency plans and response procedures.
Suppliers must have a training program to achieve an appropriate level of knowledge, skills and abilities among management and workers to meet these expectations.
Suppliers must commit to continuous improvement by setting performance goals, implementing action plans, and correcting identified gaps
